KODA8, LLC CONSOLIDATED TERMS OF USE / SERVICE (TOU)
The primary goal of this ToU is to secure KODA8’s ownership of the platform data and models, while managing the risk of inaccurate AI output and user-generated data.
SECTION 1: ACCEPTANCE, SCOPE, & LEGAL ENTITY

SECTION 2: INTELLECTUAL PROPERTY & AI OUTPUT
This is the most critical section for an AI/data business.

User-Generated Content (UGC) License | If users can post comments, reviews, or data: Users retain ownership of their UGC but grant KODA8, LLC a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and publicly display the UGC, specifically including the right to use it for internal AI model training and enhancement. |
| 2.3. Licensing of AI Output | Defines the user’s license: Grants the user a limited, non-exclusive, non-transferable right to use the reports, data, and visualizations generated by our AI for their internal business purposes only during the subscription term. |
| 2.4. Prohibition on AI Scraping | Explicitly prohibits the use of automated data extraction tools (scrapers, bots, crawlers) to systematically extract any data, content, or AI output from any KODA8 Service for the purpose of training a third-party or competitive AI/ML model. |
SECTION 3: USE RESTRICTIONS & CONDUCT

| 3.3. NO RESALE/REDISTRIBUTION | Strictly prohibits the unauthorized sublicensing, resale, or mass redistribution of any KODA8 data, reports, or AI outputs to third parties. |
SECTION 4: AI DISCLAIMERS & LIMITATION OF LIABILITY
This section is vital for managing risk related to our core AI product.

| 4.2. Professional Advice | The AI Output is NOT a substitute for professional, financial, legal, or investment advice. Users must validate all data through independent sources and rely on their own human judgment before making decisions. |
| 4.3. Limitation of Liability | Limits KODA8, LLC’s liability to the maximum extent permitted by law (e.g., limiting liability to the fees paid by the user in the last twelve months), and excludes liability for indirect, incidental, or consequential damages. |
SECTION 5: TERMINATION & DISPUTE RESOLUTION
